1. General
These Terms of Service (the “Terms”) are a binding agreement between you and brezel.ai LLC, a Wyoming limited liability company doing business as theBarty, located at 30 N Gould St Ste N, Sheridan, WY 82801, United States (“brezel.ai”, “we”, “us”, or “our”). They govern your use of:
- the theBarty desktop application for Windows and macOS, including its code, interfaces, graphics, text, documentation, and every update or new version we release (the “App”);
- the thebarty.com website (the “Site”); and
- the watch-party, chat, and voice features delivered through the App and the Site (together with the App and the Site, the “Services”).
The App is licensed to you, not sold. These Terms are effective as of July 16, 2026. Please read them carefully — they affect your legal rights. By downloading, installing, or using any part of the Services you accept these Terms; if you do not accept them, do not use the Services. Questions are always welcome at [email protected].
2. What theBarty is (and isn’t)
theBarty synchronizes playback between watch-party participants and adds text chat, voice chat, and reactions on top. That is the whole product.
theBarty does not host, store, stream, or rebroadcast any movie, show, or other streaming content. Playback comes from each participant’s own streaming provider, through that provider’s own player and under that provider’s own agreement with the participant. theBarty carries the timing signals and the conversation — never the content. Nothing in these Terms grants you any right to any third-party content, and theBarty is not a substitute for a subscription to any streaming service.
3. Eligibility
You must be at least 13 years old to use the Services — and at least the minimum age of digital consent in your country or region, if that age is higher. If you are a minor above those thresholds, a parent or legal guardian must review and agree to these Terms on your behalf and is responsible for your use of the Services.
By using the Services you confirm that you have the right, authority, and capacity to enter into these Terms, and that your use of the Services is lawful where you live. You are responsible for complying with the laws of the place from which you access the Services; any use of the Services is void where prohibited.
4. License grant and restrictions
Short version: install theBarty on your own computers and enjoy it — just don’t copy it, resell it, or take it apart.
We grant you a limited, personal, non-exclusive, non-transferable, revocable license to download, install, and run the App on desktop computers that you own or control, solely for your personal, non-commercial use in accordance with these Terms.
You agree not to, and not to help anyone else to:
- copy the App beyond what normal installation and reasonable backup require;
- distribute, sell, resell, rent, lease, or lend the App or access to the Services;
- decompile, disassemble, or reverse engineer the App or attempt to derive its source code, except to the extent applicable law expressly permits this despite the present restriction;
- modify the App or create derivative works based on the App or the Services;
- remove, alter, or obscure any copyright, trademark, or other proprietary notice in the App or on the Site;
- circumvent, disable, or interfere with technical measures that protect the App or the Services; or
- use the App or the Services to build a product or service that competes with theBarty.
5. Restriction on transfer
Your license is yours alone. You may not assign, sublicense, or otherwise transfer these Terms, your license, or any of your rights or obligations under them, and any attempted transfer in violation of this section is void and has no effect.
6. Compatibility and system requirements
theBarty is a desktop app. It currently supports macOS 11 or later (Apple Silicon and Intel) and 64-bit Windows 10 and 11, and it is distributed exclusively by direct download from thebarty.com. We do not distribute the App through any app store, and copies obtained from other sources are not covered by these Terms or supported by us.
We do not promise that the App will install or run on unsupported operating systems, hardware, or configurations, or that it will interoperate with other software on your computer. From time to time we may release updates, and installing them may be required to keep using the Services. If we bring theBarty to additional platforms in the future, these Terms will apply to those versions too unless we state otherwise.
7. Accounts
Where the Services offer account features, the following applies. When you create an account you agree to provide accurate and current information and to keep it up to date. Account names remain part of the Services: we may reclaim, rename, or disable an account handle where reasonably necessary — for example to prevent impersonation or trademark abuse — and we may suspend accounts as described in Section 19. Details of what information is collected in connection with accounts are set out in our Privacy Policy.
8. Account and party security
You are responsible for keeping your credentials confidential and for everything that happens under your account. The same goes for watch parties you host: invite links and party access are yours to manage, and you decide who joins what you host. If you believe your account or a party you host has been accessed without authorization, tell us promptly at [email protected]. We may apply security measures to help protect the Services, but we cannot guarantee that unauthorized access will never occur.
9. Your streaming subscriptions
theBarty is bring-your-own-subscription. Every participant in a watch party needs their own valid account or subscription for the streaming service being watched. theBarty does not provide access to any content and does not remove the need to pay for the services you watch.
When you use theBarty with a streaming service, you must:
- comply with that service’s own terms of use and policies;
- not circumvent DRM, geo-restrictions, simultaneous-stream limits, or any other access or copy-protection controls; and
- use theBarty for personal, non-commercial viewing only — no public performances, no paid screenings.
10. No affiliation with any streaming service
theBarty is an independent product. It is not affiliated with, endorsed by, or sponsored by Netflix, Shahid, WatchIT, YouTube, Disney+, Prime Video, OSN+, Viu, or any other streaming platform. All trademarks, service marks, and logos of those platforms belong to their respective owners and are used on the Site and in the App solely to identify the services theBarty can synchronize with.
11. Non-commercial use
The Services are for personal use. You may not use the Services for any commercial purpose without our prior written consent, including:
- hosting public performances, ticketed events, or commercial screenings through theBarty;
- selling, reselling, or charging for access to watch parties;
- advertising to, or soliciting purchases from, other participants; or
- using the Services on behalf of an organization or business for its commercial ends.
12. Your content and license to us
What you say in a party is yours. You own the content you create in theBarty — your chat messages, voice communications, and profile details (“Your Content”).
So that theBarty can work, you grant brezel.ai a license to Your Content solely to operate and provide the Services — for example, chat and voice are processed and transmitted in real time to deliver them to the rest of your watch party. That is the entire purpose of the license: it does not permit us to use Your Content for anything unrelated to running theBarty, and it is not a general royalty-free grant.
You are responsible for Your Content. You confirm that you have the rights needed to share it and that it complies with these Terms. We are not obligated to review content, but we may remove content, and may restrict accounts or parties, when we reasonably believe these Terms have been violated.
13. Interactions with other users
Watch parties are created and run by users, and you are solely responsible for your interactions with other participants. We do not run background checks on users and make no representations about any user’s conduct.
Remember that other participants in a party can see and hear whatever you share there — messages, voice, reactions, and your profile details. Share accordingly. If someone behaves abusively, you can report it to [email protected]. We have no obligation to monitor parties, but we reserve the right to act on reports and violations, including removing content and suspending or terminating access.
14. Prohibited activities
When using the Services, you agree not to:
- harass, stalk, threaten, or defraud other users, or promote hatred, bigotry, or physical harm against any group or individual;
- share sexual content involving minors — this results in immediate termination and referral to authorities;
- impersonate any person or entity or misrepresent your affiliation with anyone;
- send spam, chain messages, unsolicited advertising, or solicit money or personal information from other users;
- upload or transmit viruses, malware, or any other harmful or disruptive code;
- scrape the Services, operate bots, or access the Services by any automated means;
- interfere with, disrupt, or place undue load on the Services or the servers and networks behind them;
- probe, scan, or test the security of the Services without our prior written consent;
- use theBarty to infringe copyright — theBarty synchronizes playback; it is not a license to infringe copyright, and it may not be used to share, restream, capture, or publicly perform content you do not have the right to show;
- use the Services for any unlawful purpose or activity; or
- evade a suspension or termination we have imposed, including by creating new accounts.
This list is illustrative, not exhaustive. We may investigate violations and take any action we consider appropriate, including removing content, suspending or terminating access, and involving law enforcement.
15. Use of information and Privacy Policy
How we collect, use, and share information in connection with the Services is described in our Privacy Policy, which is part of your agreement with us. Please read it. We may access, preserve, and disclose information where we believe in good faith that doing so is required by law or reasonably necessary to enforce these Terms, respond to claims, or protect the rights, property, or safety of our users, the public, or brezel.ai.
16. theBarty’s intellectual property
The App, the Site, and everything in them — including the theBarty name, wordmark, logo, code, design, and documentation — are the property of brezel.ai LLC or its licensors and are protected by intellectual property laws. Apart from the license in Section 4, no rights in the Services are granted to you, by implication or otherwise, and all rights not expressly granted are reserved.
You may not use the theBarty name, wordmark, or logo in advertising, publicity, or any commercial context without our prior written permission. The App may include open-source components; those components are governed by their own licenses, which control in case of conflict for those components.
If you send us feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them to improve and operate the Services, without any obligation to you.
17. Third-party content and services
The streaming platforms theBarty synchronizes with are independent third parties. Your relationship with each of them — including your subscription, the content you can watch, pricing, and regional availability — is governed by that platform’s own terms and policies, not by these Terms. We do not control, endorse, or assume responsibility for any third-party service or its content.
Because theBarty works alongside players we do not control, support for any given platform can change or break at any time and without notice — for example when a platform updates its player, apps, or terms. We work to keep up, but we make no warranty of continued compatibility with any streaming service, and we may add or remove platform support at our discretion.
18. Copyright complaints (DMCA)
We respect intellectual property rights and expect users to do the same. If you believe material available through the Services infringes your copyright, send a notice to our designated agent at [email protected] or by mail to brezel.ai LLC, Attn: Copyright Agent, 30 N Gould St Ste N, Sheridan, WY 82801, USA, including:
- identification of the copyrighted work you claim is infringed (or a representative list if multiple works are covered);
- identification of the material you claim is infringing and information reasonably sufficient for us to locate it;
- your name, address, telephone number, and email address;
- a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
- a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf; and
- your physical or electronic signature.
If material you posted was removed and you believe the removal was a mistake or misidentification, you may send a counter-notice to the same addresses including: identification of the removed material and where it appeared; your contact information; a statement under penalty of perjury that you have a good-faith belief the material was removed in error; your consent to the jurisdiction of the federal courts for your address (or, if outside the United States, for our district) and to accepting service of process from the original complainant; and your signature. We terminate the access of repeat infringers in appropriate circumstances.
19. Term and termination
These Terms apply from the first time you use the Services and remain in effect while you use them. You can end them at any time by stopping your use of the Services, uninstalling the App, and — where account features are offered — deleting your account.
We may suspend or terminate your license or your access to the Services if you breach these Terms, if we are required to by law, or if we reasonably believe suspension or termination is necessary to prevent harm to users, third parties, or the Services. Where reasonable, we will give you notice and a chance to respond; in urgent cases — such as safety risks or legal requirements — we may act immediately.
When these Terms end, your license ends and you must stop using and uninstall the App. Sections that by their nature should survive termination survive it, as listed in Section 30.
20. Modifications to the Services and the App
theBarty will keep evolving. We may add, change, or remove features of the Services and the App at any time, and we may suspend or discontinue all or part of the Services — with reasonable notice where practicable. We are not liable to you or any third party for modifying or discontinuing the Services, except where mandatory law provides otherwise.
21. Free service and future paid features
theBarty is currently free to download and use, and nothing in these Terms creates any fee today. We may introduce optional paid features in the future; if we do, we will identify them clearly, tell you the price, and give notice before anything you already use starts costing money.
22. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY — INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT PLAYBACK SYNCHRONIZATION WILL BE ACCURATE OR CONTINUOUS; THAT THE APP WILL BE COMPATIBLE OR REMAIN COMPATIBLE WITH ANY STREAMING PLATFORM, OPERATING SYSTEM, HARDWARE, OR OTHER SOFTWARE; OR THAT DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICES, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. YOU DOWNLOAD AND USE THE APP AT YOUR OWN DISCRETION AND RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER OR LOSS OF DATA THAT RESULTS.
23. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BREZEL.AI LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID BREZEL.AI FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) USD 100.
Some jurisdictions do not allow certain warranty disclaimers or limitations of liability, so parts of Sections 22 and 23 may not apply to you. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, or rights you have under mandatory consumer-protection law.
24. Indemnification
You agree to indemnify, defend, and hold harmless brezel.ai LLC and its officers, members, employees, agents, suppliers, and licensors from and against claims, demands, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to Your Content, your misuse of the Services, or your violation of these Terms or of any streaming service’s terms in connection with your use of theBarty.
25. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules, and their application is not governed by the United Nations Convention on Contracts for the International Sale of Goods. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming, and you and brezel.ai consent to the personal jurisdiction of those courts.
If you are a consumer in a jurisdiction whose laws entitle you to bring proceedings in your local courts, or to the protection of local mandatory rules, nothing in this section takes those rights away.
26. Changes to these Terms
We may update these Terms from time to time — for example when we add features or when the law changes. For material changes we will give reasonable advance notice, such as a notice on the Site or in the App, and we will update the effective date above. Continuing to use the Services after changes take effect means you accept the updated Terms; if you do not accept them, stop using the Services.
27. Language
These Terms are written in English. Translations are provided for convenience only; if a translation conflicts with the English version, the English version controls.
28. Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions remain in full force and effect.
29. Waiver
If we do not enforce a provision of these Terms, that is not a waiver of our right to enforce it — or any other provision — later. A waiver of one breach is not a waiver of any subsequent breach.
30. Survival
Sections 2, 9, 10, 12, 14, 15, 16, 17, 18, 19, and 22 through 35, and any other provisions that by their nature should survive, survive the termination or expiration of these Terms.
31. Assignment
We may assign these Terms, in whole or in part, to an affiliate or to a successor in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign these Terms or any rights under them, and any attempted assignment by you is void.
32. Entire agreement
These Terms, together with the Privacy Policy and any documents they expressly incorporate, are the entire agreement between you and brezel.ai regarding the Services and supersede all prior or contemporaneous understandings on that subject. These Terms create no rights for anyone other than you and brezel.ai.
33. Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, governmental action, internet or utility failures, or failures of third-party platforms and providers.
34. Export compliance
The App is downloadable software subject to United States export-control and sanctions laws. You represent that you are not located in a country or on a list where receiving US software is prohibited, and you agree not to use, export, or re-export the App in violation of those laws.
